In plain English: these Terms govern your use of our website and the relationship between you and Precision Heating & Cooling. By using the site or asking us to do work, you agree to these Terms. Quotes and estimates are not binding contracts until both sides sign a service agreement. We do not promise the website will be perfect, and we cap our liability so the business can keep serving customers. If a dispute arises, you and we agree to resolve it through individual arbitration in California rather than class-action lawsuits — though you have a 30-day window to opt out of that provision. Section 10 has the details.

1. Acceptance & Eligibility

These Terms & Conditions ("Terms") form a binding agreement between you and Precision Heating & Cooling ("we," "us," "our"), a California business with its principal address at 1557 Monterey Rd, San Jose, CA 95110. By accessing this website ("Site"), submitting a form, calling, texting, or otherwise engaging us, you accept these Terms. If you do not agree, do not use the Site or our services.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are using the Site on behalf of a company or organization, you represent that you have authority to bind it.

2. Our Services

Precision Heating & Cooling is a licensed heating, ventilation, air-conditioning, and indoor-air-quality contractor (California Contractor's License #1056688) operating in California. Services include diagnostics, repair, installation, maintenance, replacement, and related work on residential and light-commercial HVAC equipment as described on the Site.

Eligible service area. We perform on-site work within the geographic areas listed on our Site. Service outside those areas is offered only by separate written agreement.

3. Estimates, Quotes & Pricing — Non-Binding Until Signed

Estimates, quotes, ballparks, equipment recommendations, and pricing information communicated through the Site, by phone, text, email, or in person are good-faith approximations only and are NOT a binding offer or contract. Any final scope of work, equipment list, and price becomes binding only when memorialized in a signed written service agreement between you and Precision Heating & Cooling, or upon mutual electronic acceptance of a written estimate.

We may change pricing at any time before a written agreement is signed (for example, due to manufacturer price changes, refrigerant cost shifts, or site conditions uncovered during diagnostic work). After a written agreement is signed, change orders follow the change-order process in that agreement.

Sales tax, permit fees, and after-hours / emergency surcharges are not included in standard estimates unless expressly stated.

4. Financing

Precision Heating & Cooling works with third-party financing partners, including GoodLeap, to offer financing options for qualified customers. Financing decisions, terms, interest rates, fees, and approval are made solely by the financing partner under their own agreement with you. Precision Heating & Cooling does not extend credit, guarantee approval, or set financing terms.

5. AI & Automated Content Disclaimer

Some informational content on this Site may be drafted with the assistance of AI tools and reviewed by our team. Content is educational and is not a substitute for a licensed technician's on-site diagnosis, professional engineering advice, financial advice, or legal advice. We do not currently use AI chat assistants or AI estimators to bind us to any quote or scope of work; a human always confirms diagnostics and pricing before a binding agreement is signed.

You are responsible for evaluating any AI-assisted output and asking us to confirm anything you intend to rely on.

6. No Professional Advice

Information on the Site is provided for general educational purposes only and is not professional engineering, design, legal, tax, financial, or medical advice. Codes, rebates, regulations, manufacturer programs, and product availability change frequently. Do not rely on Site content as the final word — confirm specifics with us or your local authority having jurisdiction before acting on them.

7. Intellectual Property & License

All content on the Site — including text, photos, logos, brand names, video, graphics, and the underlying code — is owned by Precision Heating & Cooling or its licensors and is protected by U.S. and international intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial purposes related to obtaining HVAC services from us. You may not copy, modify, reverse-engineer, scrape, frame, mirror, or otherwise reproduce or distribute any part of the Site without our prior written consent.

Trademarks. "Precision Heating & Cooling," the company logo, and any taglines used on the Site are trademarks of Precision Heating & Cooling. Other trademarks (such as Bryant Authorized Dealer or GoodLeap) belong to their respective owners and are used here under license or with permission.

8. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose or in any way that could harm our reputation or operations; (b) submit false, misleading, defamatory, or infringing content; (c) attempt to interfere with the Site's security, availability, or integrity (including denial-of-service, automated scraping, or vulnerability probing without written permission); (d) impersonate another person or misrepresent your affiliation with anyone; (e) collect or harvest information about other users; or (f) use the Site in any manner that violates applicable law.

9. User Submissions

If you post a review, photo, comment, or other content to the Site or to a platform we link to, you represent that you own or have the rights to that content and you grant Precision Heating & Cooling a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, and display that content for our marketing and operational purposes. We may remove user submissions at our discretion.

10. Third-Party Services & Links

The Site may include links to or integrations with third-party sites and services (for example, our financing partner's portal, social media, review platforms, or analytics tools). We are not responsible for the availability, content, terms, or privacy practices of any third party.

11. Warranty Disclaimer — AS-IS / AS-AVAILABLE

THE SITE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRECISION HEATING & COOLING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure, or that defects will be corrected. We do not warrant the accuracy, completeness, or timeliness of any information on the Site.

Service warranties. Warranties on the actual heating, cooling, and indoor-air-quality work we perform — including parts, labor, and manufacturer pass-through warranties — are governed by the written service agreement, invoice, or warranty certificate we provide for that job, not by these Site Terms.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PRECISION HEATING & COOLING, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS, OR SUPPLIERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY MATERIALS ON IT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). FOR LIABILITY ARISING OUT OF SERVICES WE PERFORM ON YOUR PROPERTY, OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THAT SPECIFIC JOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages — to the extent those limits apply to you, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Precision Heating & Cooling, its owners, officers, employees, agents, and subcontractors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site in breach of these Terms; (b) your violation of any law or third-party right; or (c) content you submit to or through the Site.

14. Governing Law, Venue & Dispute Resolution

Governing law. These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-law principles.

Informal resolution. Before filing any formal claim, you agree to contact us at info@pheating.com and give us thirty (30) days to attempt to resolve the dispute informally.

Binding arbitration on an individual basis. Any unresolved dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your use of either will be resolved by binding individual arbitration administered by JAMS (or, by mutual agreement, the American Arbitration Association) under its rules then in effect. Arbitration will take place in Santa Clara County, California, or by video at the arbitrator's option. The arbitrator will decide all issues including the scope and enforceability of this arbitration provision. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. YOU AND PRECISION HEATING & COOLING EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS, AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.

Right to opt out of arbitration. You may opt out of this arbitration agreement (Section 14) by sending us written notice within 30 days of the date you first accept these Terms, addressed to Precision Heating & Cooling at 1557 Monterey Rd, San Jose, CA 95110 or by email to info@pheating.com with the subject "Arbitration Opt-Out." Opting out does not affect any other provision of these Terms.

Equitable relief. Either party may seek injunctive or equitable relief in court to protect intellectual property or trade secrets, even where arbitration would otherwise apply.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any other reason. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution) survive termination.

16. Force Majeure

Neither party will be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, severe weather, fire, flood, earthquake, supply-chain disruption, refrigerant or equipment shortages, labor disputes, pandemic, government action, or utility failure. The affected party will use reasonable efforts to resume performance as soon as practicable.

17. Notices

Notices to Precision Heating & Cooling must be sent in writing to 1557 Monterey Rd, San Jose, CA 95110 or by email to info@pheating.com. Notices to you will be sent to the email or postal address you provided to us; you are responsible for keeping that information current.

18. Entire Agreement; Severability; Assignment

These Terms — together with the Privacy Policy, any signed service agreement, and any other policies referenced on the Site — are the entire agreement between you and Precision Heating & Cooling concerning the Site and the relationship described here, and supersede all prior or contemporaneous communications on the same subject.

If any provision is held unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our business. You may not assign these Terms without our prior written consent.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

How we collect, use, and protect personal information, including your California privacy rights and how to opt out of the sale or sharing of personal information, is described in the "Your Privacy Choices" section of our Privacy Policy. That section is incorporated into these Terms by reference.
